Terms and Conditions
Last Updated: October 13, 2026
These Terms and Conditions (“Terms”) govern your access to and use of the website [https://caluxfilters.com/](https://caluxfilters.com/), owned and operated by Calux (“we”, “us”, “our”). When you browse the website, submit inquiries, request samples or enter B2B cooperation, including OEM & ODM manufacturing, you (“you”, “User”, “Buyer”) confirm acceptance of these Terms. If you disagree with any part of these Terms, you must discontinue website use right away.
1. Website Use
This website serves B2B partners such as importers, distributors and private‑label brand owners. All onsite content, including product photos, specifications, technical data, brochures and marketing text acts as general reference only, and it does not create any binding sales offer. Only our formal Proforma Invoice (PI) or signed sales agreement validates quotations, product specifications, delivery timelines and commercial contracts.
You may leverage this website solely for lawful business purposes. Do not conduct unauthorized access, data scraping, hacking or any activity that disrupts website operation. In addition, you shall refrain from copying, reproducing or redistributing our website content without our prior written permission.
2. Intellectual Property Rights
Calux holds full intellectual property over all trademarks, logos, graphics, texts and product designs published on [caluxfilters.com](https://caluxfilters.com). Without written authorization, no party may copy, modify or repurpose this content for commercial ends.
For OEM/ODM projects, the Buyer must guarantee all trademarks, logos, artwork and packaging files they supply do not infringe third‑party intellectual property. Consequently, the Buyer takes full liability for any IP disputes triggered by custom branding materials provided by themselves. Meanwhile, Calux keeps ownership over original product molds, internal designs and technology for standard ODM models. Only a separate written IP transfer agreement can alter this rule.
3. Product Information & Limitation
We take reasonable steps to keep product descriptions, images and parameters accurate. Raw‑material adjustments or technical upgrades, however, may lead to updates on product specifications, appearance, materials and certifications with no advance notice. Minor visual gaps between website pictures and physical delivered goods do not count as product defects.
For this reason, the Buyer bears responsibility to confirm our products satisfy import standards, safety regulations and local water‑condition requirements for target markets before placing bulk orders. Calux will not accept liability for customs rejection or local market non‑compliance when the Buyer fails to complete pre‑order regulatory checks.
4. Orders, Quotation & MOQ
Every quotation stays valid within the time frame clearly printed on the quotation document. Raw‑material cost swings, exchange‑rate movement or shipping price shifts can trigger price adjustments.
Sample orders and bulk purchases follow our Minimum Order Quantity (MOQ) rules. MOQ values differ for standard stock items versus OEM/ODM custom products. An order gains binding force once we receive deposit payment and both sides confirm the PI. In the event you hope to change product specs, packaging or quantity after PI confirmation, submit requests in writing; such revisions may bring extra costs and longer lead times.
5. Payment, Shipment & Inspection
Your PI will lay out all agreed payment terms. Normally, we collect a deposit to kick‑off production, and buyers need to settle full balance before shipment.
Sales contracts define shipment terms such as FOB, CIF and EXW. All shipping dates remain estimated timelines. Force‑majeure events, port congestion, raw‑material shortages or logistics emergencies can push delivery back. Accordingly, buyers should arrange pre‑shipment factory inspection if third‑party verification is required. Raise claims for visible physical damage within the agreed time window after cargo arrives.
6. Warranty & Liability Limitation
Written warranty clauses inside sales contracts set our product‑warranty scope. This warranty covers manufacturing defects exclusively. It does not cover damage from improper installation, mismatched water pressure, product misuse, harsh local water quality, normal consumable wear like filter cartridges, unauthorized modification or accidents.
Under any given transaction, Calux’s total liability cannot exceed the total value of that specific order. Furthermore, we accept no responsibility for indirect losses, lost profits, business interruption or consequential damages.
7. Privacy
Our Privacy Policy also applies to your website usage. When you submit information via contact forms or email inquiries, we only use those details for business communication, quotation work and order follow‑up. We will never sell your business data to external third parties.
8. Force Majeure
Neither side needs to take responsibility for unfulfilled obligations caused by events outside reasonable human control. Examples include natural disasters, warfare, epidemics, port shutdowns, government‑policy shifts and supply‑chain breakdowns. The affected party must notify the other side promptly. Both parties then negotiate options to adjust delivery timelines or partially terminate existing orders.
9. Modification of Terms
We reserve the right to revise these Terms at any time. We will publish updated versions on this page alongside a new “Last Updated” date. If you keep using our website after revisions go live, you acknowledge acceptance of updated Terms.
10. Governing Law & Dispute Resolution
The laws of the People’s Republic of China govern these Terms and all B2B transactions between Calux and the Buyer. For disputes arising from website usage or sales contracts, both parties should pursue friendly negotiation first. Should talks fail, parties may submit disputes to mutually‑agreed arbitration or file proceedings with competent courts.
